ADVENT TECHNOLOGIES HOLDINGS, INC. (NASDAQ:ADN) stockholders approved the election of three Class II directors, the ratification of its independent auditor, and the potential issuance of common stock worth up to $52 million to Hudson Global Ventures, LLC at its annual meeting held on October 22, 2025.

Marc Seelenfreund, Seth Lukash, and Joseph Celia were elected as Class II directors, each serving a term that expires at the 2028 annual meeting. Marc Seelenfreund received 878,371 votes for his election, Seth Lukash received 898,871 votes, and Joseph Celia received 900,171 votes.

Stockholders ratified the appointment of M&K CPAS, PLLC as the company's independent registered public accounting firm for the fiscal year ending December 31, 2025, with 1,161,826 votes in favor. They also approved the potential issuance and sale of 20% or more of the company's common stock to Hudson Global Ventures, LLC for up to $52 million, with 760,448 votes in favor.

Furthermore, an amendment to the 2021 Incentive Plan was approved, increasing the number of shares issuable from 530,976 to 1,011,627, along with provisions for annual increases; this proposal received 682,272 votes for. A non-binding advisory vote approved the compensation of named executive officers with 829,029 votes for, and stockholders recommended a frequency of every three years for future advisory votes on executive compensation, receiving 559,297 votes.

On the record date of September 19, 2025, 3,291,634 shares of common stock were issued and outstanding, with 1,307,771 shares present in person or by proxy at the annual meeting.
