PALISADE BIO, INC. (NASDAQ:PALI) stockholders approved a potential reverse stock split and elected three directors at its annual meeting held on October 17, 2025.

Shareholders authorized the board of directors to implement a reverse split of the company's common stock at a ratio between 1-for-5 and 1-for-50, at its discretion, to be effective on or before December 31, 2025. This proposal received 2,353,265 votes for, 1,122,616 votes against, and 109,819 abstentions.

J.D. Finley, Donald Williams, and Emil Chuang were elected as directors, each to serve until the company's 2026 annual meeting of stockholders. Mr. Chuang garnered 659,895 votes for, Mr. Finley received 647,086 votes for, and Mr. Williams secured 641,789 votes for.

Stockholders also ratified the selection of Baker Tilly US, LLP as the independent registered public accounting firm for the fiscal year ending December 31, 2025. This ratification passed with 3,348,348 votes for. A total of 3,585,700 shares, representing approximately 39.32% of the 9,119,152 shares outstanding as of the September 12, 2025 record date, were present in person or by proxy, constituting a quorum.
